They've already said that if the company is not liquidated, they are going to abandon middle America and focus on northeast and west coasts, TX and FL.
Well from what I understand something like almost half of his previous offer was on credit, and they weren't sure if his new offer was also partially on credit or not.
That credit was in a way debt forgiveness of what Sears owes him personnally from his "pocket money" he loaned Sears.
